1. Definitions
1.1 "Vendor" refers to any third-party service provider, developer, or partner integrating with or providing services for Campride WhatsBot.
1.2 "Platform" refers to Campride WhatsBot and its associated services.
2. Vendor Obligations
2.1 Vendors must maintain all necessary licenses and comply with all applicable laws, including:
WhatsApp's Business Policy
Data protection regulations (GDPR, CCPA, etc.)
Anti-spam legislation
2.2 Vendors are responsible for:
Providing accurate and current business information
Maintaining service quality standards
Promptly addressing technical issues
3. Integration Requirements
3.1 All integrations must:
Pass Campride's security review
Maintain API rate limits
Include proper error handling
3.2 Prohibited integrations include:
Those violating WhatsApp's policies
Services facilitating spam or illegal activities
Systems designed to circumvent platform limitations
4. Data Protection
4.1 Vendors must implement appropriate security measures including:
Data encryption
Access controls
Regular security audits
4.2 Vendor data breaches must be reported to Campride within 24 hours of discovery.
5. Service Level Agreement
5.1 Vendors must maintain:
99% monthly uptime for critical services
24-hour response time for priority issues
Regular system updates
6. Compensation & Payments
6.1 Payment terms:
Net 30 payment terms apply
Invoices must reference valid purchase orders
Disputes must be raised within 15 days
6.2 Campride reserves the right to:
Withhold payment for disputed services
Offset future payments against valid claims
7. Intellectual Property
7.1 Vendors retain rights to their pre-existing IP.
7.2 Campride grants limited license to use its trademarks for integration purposes only.
8. Termination
8.1 Either party may terminate with 30 days written notice.
8.2 Immediate termination may occur for:
Material breach of these terms
Violation of applicable laws
Repeated service failures
9. Limitation of Liability
9.1 Neither party shall be liable for:
Indirect or consequential damages
Loss of profits or revenue
Third-party claims exceeding fees paid
10. Governing Law
These Terms shall be governed by the laws of [Jurisdiction], with disputes resolved in [Court Location].
11. General Provisions
11.1 These terms constitute the entire agreement between parties.
11.2 Amendments require written agreement.
